Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and [ShootPortal, Inc., a Washington corporation] ("ShootPortal," "we," "us") governing your access to and use of the ShootPortal website, applications, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you're using the Service on behalf of a production company, studio, or other organization, you're agreeing on that organization's behalf and confirming you have authority to do so.

Eligibility & your account

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. You're responsible for your account, for keeping your login credentials secure, and for all activity that happens under it. You must provide accurate, current information. You're responsible for the people you invite into your organization and the permissions you grant them — including crew, freelancers, and clients.

Talent, minors & guardian consent

Productions on ShootPortal sometimes involve minors — child performers, talent under 18, or other individuals who cannot legally consent for themselves. If you add a minor's information to the Service (contact details, call sheets, releases, schedules, or similar), you represent that you have the legal right to do so, including any required parental or guardian consent under applicable law, and that you will obtain and retain that consent through your own production paperwork — ShootPortal is not a party to and does not verify those consents. You're responsible for complying with applicable child-performer and labor laws (e.g., work-permit and hour restrictions) independent of anything the Service does or doesn't enforce.

Plans, billing & fees

Your content

You retain ownership of the content you and your team add to the Service — projects, schedules, crew records, documents, and files ("Your Content"). You grant us a limited, non-exclusive license to host, copy, and process Your Content solely to operate and provide the Service to you and the people you authorize. You're responsible for having the rights to the content you upload, including any releases, clearances, and consents (see Talent, minors & guardian consent above).

Acceptable use

Don't misuse the Service — no unlawful activity, infringement of others' rights, attempts to disrupt, reverse-engineer, or gain unauthorized access to the Service, or uploading content you don't have the right to share. We may suspend or terminate accounts that violate this section, with notice where practicable.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access for material breach of these Terms, non-payment, or as needed to protect the Service or other users. Provisions that by their nature should survive termination (ownership, disclaimers, limitation of liability, governing law) will survive.

Availability & changes

We work to keep the Service available but don't guarantee uninterrupted access. We may update, add, or remove features over time. We'll give reasonable notice of material changes to these Terms, and continued use after changes take effect constitutes acceptance.

Disclaimers & limitation of liability

The Service is provided "as is" and "as available." To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the extent permitted by law, our aggregate liability arising from these Terms or your use of the Service is limited to the amount you paid us in the 12 months before the claim arose, and we are not liable for indirect, incidental, or consequential damages.

Governing law & disputes

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Clark County, Washington, and you consent to jurisdiction there.
